This Service Agreement is made on the date this transaction is successfully completed between Auxilium Education (‘Auxilium Education’) and the Customer below (‘the Student’), together referred to as ‘the parties’.

Preamble

As part of its business operations, Auxilium Education offers education services (the ‘B-School Bootcamp’) to assist the Student to heighten academic performance, expand extracurricular engagement and/or apply for university. The Student desires to engage Auxilium Education to provide such B-School Bootcamp to the Student in accordance with the terms and conditions as set out in this agreement (“this Agreement”).  The parties have agreed to enter into this Agreement to define and set forth the terms and conditions of the B-School Bootcamp to be provided by Auxilium Education to the Student. 

The parties agree that:

Article 1. Definitions

1.1. In this Agreement the following words and phrases have the following meanings:

“Agreement” means this agreement, including all subsequent amendments to this agreement agreed in writing between the parties.

“Commencement Date” means the commencement date of the next available B-School Bootcamp class as identified on the Auxilium website, subject to the Student's compliance with all payment obligations set out in Article 6 arising on or by the Commencement Date.

“Completion Date” means the completion date of the next available B-School Bootcamp class as identified on the Auxilium website, subject to any prior termination in accordance with this Agreement or any extension agreed to in writing and executed between the parties.

“Instructor(s)” Instructors which are selected by Auxilium Education and form part of the Student's dedicated support team.

“B-School Bootcamp” means the services to be provided by Auxilium Education through its Instructors as set out in Article 5.

“Auxilium Education” means Auxilium Education.

“Fees” means the total maximum amount payable under this Agreement for the provision of the B-School Bootcamp during the Term.

“Intellectual Property” means all materials, copyrights, trademarks, designs, patents, and other legal interests recognized or protected as intellectual property under the jurisdiction of this Agreement.

“Notice” means notice in writing including those conveyed by facsimile, letter, email, and other electronic communication methods.

“Term” means the period from the Commencement Date to the Completion Date (inclusive in each case), during which the B-School Bootcamp will be provided.

Article 2. Provision of the B-School Bootcamp

2.1. Auxilium Education will provide the B-School Bootcamp as detailed in Article 5. The Student acknowledges and agrees that the B-School Bootcamp will be provided by an instructor which is selected by Auxilium Education.

2.2. Unless otherwise agreed, all mentoring, coaching and other services provided by Auxilium Education staff will be through a group class setting through online platforms including audiovisual, messaging and electronic mail.

2.3. Auxilium Education will not be required to provide any support or classes covered by the B-School Bootcamp after the expiry of the Term except for access to Supporting Materials as detailed in Article 5. The Term can be extended through mutual agreement in writing.

2.4. Based on an assessment of the Students’ needs within the B-School Bootcamp and staff availability, the Instructor may at his/her discretion engage other Auxilium Education staff to provide support work at no additional cost to the Student, provided that such support work is consistent with the scope of the B-School Bootcamp set out in this Agreement and is approved by both parties in writing.

2.5. Admissions criteria:

(a) the Student shall have responsibility for review of the Program Description for the program of the Student’s choice (available through the Auxilium Services Overview web page and in Article 5 of this Agreement), whether the Student self-enrolls or enrolls with the assistance of an Auxilium staff member.  

2.6. Tuition:

(a) Tuition for programs and/or courses, including any applicable taxes, must be received by Auxilium Education before the Student will be registered.

2.7. Completion Requirements:

(a) In order to receive a Certificate of Completion, the Student must successfully complete the program by the date indicated in Auxilium Education’s Student Center.

2.8. Program Cancellation Policy:

(a) The Student may request the Student's enrollment be canceled at any time before the Student is registered for and granted access to the program (live or previously recorded B-School Bootcamp classes) or the first program, if purchasing more than one program at a time.

2.9. Refund Policy:

(a) You may cancel or reschedule a B-School Bootcamp thirty (30) or more days prior to the start date of the B-School Bootcamp at no charge.

(b) If you must cancel or reschedule with less notice, you will be required to pay a change fee based on the following days until the start of the B-School Bootcamp. * Greater than fifteen (15) days 30% charge based on full price to change or refund * Fifteen (15) days or less 50% charge based on full price to change or refund * No Show not eligible for refund.

(c) Can re-schedule the B-School Bootcamp based on availability. You will have the option to reschedule the class on a space-available basis (determined 3 business days before the class starts) on a future date as long as the same class is still being offered and the courseware has not been updated. If you are unable to reschedule the B-School Bootcamp for any reason or Auxilium Education no longer offers the B-School Bootcamp, no refund will be provided. Auxilium Education asks that you notify us as soon as possible if you need to reschedule a B-School Bootcamp. Auxilium Education reserves the right to change B-School Bootcamp prices or modify the schedule of B-School Bootcamps at any time. All modifications that impact enrolled students will be communicated as quickly as possible. Auxilium Education B-School Bootcamp schedules and pricing are subject to change without notice. Auxilium Education reserves the right to cancel or reschedule any B-School Bootcamp at any time. Auxilium Education will make a reasonable effort to notify you in the event of a cancellation or rescheduling.   

2.10. Graduate School Course Enrollment; Job Placement; Salary:

(a) Auxilium Education does not guarantee acceptance to any graduate school course upon B-School Bootcamp completion or at any time.

(b) Auxilium Education does not guarantee job placement to graduates upon B-School Bootcamp completion.

(c) and does not guarantee a salary or salary range to B-School Bootcamp graduates. The Student acknowledges and agrees that no employee of Auxilium Education has guaranteed that the Student will earn a specific salary or salary range upon completion.

2.11. Notice Concerning Non-Transferability:

(a) The B-School Bootcamp is non-credit bearing and non-transferable to other institutions. The B-School Bootcamp completed at Auxilium Education will not be accepted towards credit by other institutions.

2.12. Additional Training Disclosure:

(a) The Student understands that some graduate school courses may require additional exams, training and/or other preparation beyond the topics covered in the B-School Bootcamp. Certain universities may have specific requirements for graduate school admissions including successful completion of a standardized exam, video interview, and behavioral assessment. The Student understands that this might impact the Student’s eligibility for these graduate school programs and the Student has researched such requirements prior to enrolling in the B-School Bootcamp at Auxilium Education.

2.13. Student Consent to Recording; Recording Notice:

(a) The Student expressly consents to Auxilium Education to record all live classes and 1-1 sessions the Student attends with an Auxilium Instructor or staff member. Classes and sessions are recorded for quality assurance and training purposes to ensure the Student receives satisfactory service.

(b) The Student agrees not to record classes or 1-1 sessions on the Student’s own devices or software.

(c) The Student has been informed that Auxilium Education may capture footage of the delivered B-School Bootcamp that the Student attends for the benefit of archiving this B-School Bootcamp and that attendees may have the option to view the archived material for their personal use. The Student also understands that the recording may include the Student’s name, likeness, image, voice and/or appearance and made part of the recording in which the Student appears.

(d) The Student agrees that Auxilium Education may use recordings for promotional purposes only where the Student's identity is not disclosed.

Article 3. Auxilium Education Obligations and Acknowledgements

3.1. Auxilium Education will ensure that:

  • all work shall be completed in a professional manner and in compliance with all applicable laws and admissions application guidelines; and
  • no Instructor will engage in any unethical behavior, including, but not limited to, writing or fabricating any information on the Student’s admission application(s).
  • the B-School Bootcamp is continuously evaluated and improved.
  • accurate and truthful information is provided regarding Auxilium Education’s programs and services.
  • student records and privacy are maintained and protected.
  • competent and qualified directors, officials, instructors, contractors, and employees are engaged in providing Auxilium Education services. 

3.2. Auxilium Education will endeavor to:

  • ensure the Student utilizes the B-School Bootcamp stipulated in Article 5 in an efficient and effective manner.
  • respond to communications sent by the Student or its representatives via email or text message within 24 working hours unless under unforeseen circumstances.

Article 4. Student Obligations and Acknowledgements

4.1. The Student agrees to:

  • endeavor to comply with the terms of this Agreement.
  • incur the cost of registration relating to any examinations, tests, and/or applications on behalf of the Student; and this includes, but is not limited to the GMAT, GRE, TOEFL, IELTS exams and US/UK/Europe university applications as relevant to the Student; and
  • inform Auxilium Education of the Student’s academic and admissions results promptly after they become available.

4.2. The Student agrees to:

  • make himself/herself available at reasonable times to the Instructor and communicate promptly with the Instructor.

4.3. The Student agrees to:

  • contact the allocated Student Service Manager or Admin ([email protected]) within three (3) working days should any issues arise preventing the Student from utilizing the B-School Bootcamp outlined in Article 5;
  • endeavor to respond to any communication from Auxilium Education's tutors, administrators, and instructors within 24 working hours; and
  • adhere to the terms of this Agreement.

4.4. The Student agrees to:

(a) conduct themselves in a professional manner, treat all other students, instructors, volunteers and administrators with respect, and refrain from any behavior that may be deemed to be offensive, discriminatory, threatening, bullying or deliberate embarrassment or harassment of others;

(b) refrain from engaging in deceptive, dishonest, or fraudulent behavior, including encouraging or inducing another applicant or student to engage in such behavior;

(c) comply with the instructions in the course syllabus and the reasonable directions of instructors;

(d) participate actively in class, course and discussion forums and submit assignments and coursework on time and as required;

(e) fulfill peer assessor responsibilities fairly, non-competitively and professionally; and

(f) maintain Satisfactory Academic Progress as described in the University Catalog.

4.5. The Student acknowledges that:

  • while Auxilium Education will maintain consistent and ongoing engagement with the Student, Auxilium Education will not be responsible for the Student’s level of engagement, or lack thereof;
  • any discussions, proposals, marketing materials or other information relating to the provision of services by Auxilium Education do not form a part of this Agreement unless expressly set out in this Agreement, or otherwise agreed to by both parties in writing; and
  • The Student will have access to all B-School Bootcamp Materials provided through the B-School Bootcamp for twelve (12) months after the Completion Date set forth above. These materials include, but are not limited to, templates, excel spreadsheets, online spreadsheets and documents, school lists, timelines, slides, audio files, video files, class recordings, and organization documents. After twelve months, the Student will return all materials to Auxilium Education and/or will no longer have access to these materials.
  • The Student may purchase extended access to the B-School Bootcamp Materials through mutual agreement in writing between the Student and Auxilium Education.

Article 5. The B-School Bootcamp

Graduate School Admissions & Career Instruction

9 Hours of Live Group Class Instruction + 12 Month Access to Class Recordings & Supporting Materials

B-SCHOOL BOOTCAMP ADMISSIONS INSTRUCTION:

  • Instruction from an Instructor in a Group Class Setting to complete applications for business-related master’s programs including:

Pre-Application Consulting: Quantitative and qualitative evaluation and comprehensive planning.

Ongoing Assessment of Candidacy: Competitive self-analysis of applicant's skills and school preferences.

Essay Support (Written + Video): Brainstorming, outlining, reviewing, and editing guidance to craft a complete personal narrative through the personal statement, any supplementary essays and video essays.

CV/Resume Development: Guidance on professional CV drafting, editing, and comprehensive review.

References Strategy: Guidance on which references to select, how to develop the current relationships, when to engage them, how to fill in references’ contact details in the applications, craft compelling reference letters, and fill in complete reference forms.

Social Media + Affinity Index Strategy: Guidance on how to analyze LinkedIn profile and recommendations on how to build the Affinity Index Score.

Transcript Support: Transcript preparation and third-party Transcript Evaluation guidance and recommendations.

Application Strategy: Guidance on crafting, collating, and inputting all personal information, extracurricular and employment activities, and achievements into graduate school applications.

School Communication & Research: Guidance for ongoing research on schools including communicating with individual admissions officers, if necessary.

Application Completion: Guidance on detailed line-by-line review of sample applications including which options to select in drop-down fields and how to enter personal information, academic, employment, references, essays & activities.

Waitlist Letters: Guidance on crafting a Letter of Continued Interest, if waitlisted.

Interview Training: Guidance on preparation for all interviews including video interviews (e.g. Kira Talent) and 1-1 interviews with an admissions committee member, staff, faculty, current student, or alum.

Ongoing support from a Student Success Manager (SSM): Ongoing support throughout the duration of the B-School Bootcamp to ensure Student is satisfied with their Auxilium Education services. The SSM notes insights and feedback around the student’s progress within and outside of Auxilium Education, communicating takeaways to the Instructor, who will adjust the approach, if necessary.

SUPPORTING MATERIALS – 12 MONTH ACCESS (from this Agreement’s Completion Date)

Class Recordings: Access to all 6 Class Recordings through the Auxilium Education platform.

Article 6. Fees and Payments

6.1 The total maximum Fees payable under this Agreement for the provision of the B-School Bootcamp for the entire Term is 999 USD which is payable in accordance with Article 6.

6.2. If any payment is not made by the due date set out in this Article 6, Auxilium Education may suspend the provision of the B-School Bootcamp until payment has been made:

  • any expenses, disbursements and legal costs incurred by Auxilium Education in the enforcement of its rights contained in this Agreement arising from a default by the Student shall be paid by the Student, including any reasonable legal or debt collection agency fees.

Article 7. Intellectual Property & Confidentiality

7.1. The Student acknowledges that the work completed during live classes (including, but not limited to: essays, leadership projects, resumes) is through the joint efforts of the Student and Auxilium Education Instructors, and:

  • the Student's work (including, but not limited to: essays, leadership projects, resumes) may be used for educational or promotional purposes with prior written consent from the Student;
  • if the work includes the Student’s identity, the Student’s identity will not be disclosed by Auxilium Education without prior written consent from the Student;
  • the Student acknowledges that they cannot use any of the work produced by the Student through the provision of the B-School Bootcamp for commercial purposes without the prior written consent of Auxilium Education.
  • Auxilium Education acknowledges that it cannot use any of the work produced by the Student through the provision of the B-School Bootcamp for commercial purposes without the prior written consent of the Student.

(e)  Both parties agree to not unreasonably withhold consent for use of these resources by the other party.

7.2. The Instructor and Student agree that Auxilium Education is the exclusive owner of all the Intellectual Property rights in all documents, software, and training programs and/or manuals or products in any way created or developed under or pursuant to this Agreement and/or provided by Auxilium Education or any Instructor to the Student through or relating to the provision of the B-School Bootcamp. Auxilium Education grants a limited, non-exclusive license to the Student to use such Intellectual Property during the Term for the purposes of him or her obtaining the benefit of the provision of the B-School Bootcamp but for no other purpose.

7.3. The Instructor and Student agree that they will hold all information which is not in the public domain, and which the Instructor or Student become aware of during the course of Auxilium Education providing the B-School Bootcamp, in confidence and will not share, reproduce, distribute or show any other person in whole or in part, any of the correspondence, resources or advice given by Auxilium Education, without the consent of Auxilium Education.

(a) For clarity, the confidential information includes but is not limited to:

  • the terms (including fees payable by the Student) of this Agreement; and
  • all oral, written, visual, electronic and/or printed materials which are provided by Auxilium Education and/or an Instructor to the Student, and which are not in the public domain.

7.4.  Auxilium Education agrees to hold the following information in confidence:

  • the terms (including fees payable by the Student) of this Agreement; and
  • the fact that the Student is receiving the B-School Bootcamp from Auxilium Education unless otherwise agreed to between the Parties in writing.

Article 8. Termination & Dispute Resolution

8.1. Either party may terminate this Agreement by written notice, if the other party:

  • commits a material breach in the performance of any obligation under this Agreement; and
  • that breach continues for a period greater than 10 working days from the date that breach is notified to the other party.

8.2. Should early termination occur as a result of:

  • Auxilium Education terminating this Agreement due to the Student breaching this Agreement, a refund will not be available;
  • the Student terminating this Agreement due to Auxilium Education breaching this Agreement, a partial refund may be available;
  • a mutual agreement in writing between the parties, a refund will not be available; and
  • where the Student terminates this Agreement due to the Student changing his or her mind or other circumstances that do not involve a breach of this Agreement by Auxilium Education, a refund will not be available. 
  • If a dispute arises, the parties will attempt to resolve it by good faith discussions within 15 working days after the dispute is notified in writing by one party to the other party.

Article 9. Liability

9.1. The Student understands that Auxilium Education does not guarantee academic performance, results, scholarship awards or offers of entry to universities and will not be held accountable or responsible for the academic success or lack thereof demonstrated by the Student.

9.2. The Student agrees to bring any claim in connection with the services only against Auxilium Education, and not against any individual (including any Instructor) whether or not that individual is involved in providing any services in relation to this Agreement at any point in time.

9.3. Auxilium Education will (and will procure that its Instructors will) provide the B-School Bootcamp with due care and diligence. 

Article 10. General

10.1. Any modifications to this Agreement will only be valid if recorded in writing between the parties, which may include email confirmation by the Student. Any changes to the fees payable by the Student for additional or amended B-School Bootcamp must be recorded in the same manner in order to be valid.

10.2. A waiver of any of the terms of this Agreement by Auxilium Education will not be effective unless it is recorded in writing.

10.3. This Agreement may be duly executed and delivered in one or more counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same agreement.

10.4. Any copy of this Agreement that is received by facsimile or via email in PDF or other document reproduction format (including any copy of any document evidencing a party's signature to this Agreement) may be relied on by any party as though it were an original copy of this Agreement. This Agreement may be entered into on the basis of an exchange of facsimile, PDF or other document reproduction format.

10.5. The parties agree that this Agreement shall be governed and constructed in accordance with the laws of the State of Florida and that the courts of the State of Florida will have jurisdiction to hear and determine each suit, action or proceeding and to settle disputes which may arise out of or in connection with this Agreement.

10.6. All monetary amounts referred to in this Agreement are in USD (United States Dollars).
